These Terms of Use ("Terms") govern your access to and use of the website at whiteboxgiftworks.ca and whiteboxgiftworks.com and any related pages, content, and services (collectively, the "Site") operated by WhiteBox GiftWorks Inc. ("WhiteBox GiftWorks," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who We Are

WhiteBox GiftWorks Inc. is a corporate gifting and relationship-intelligence company based in Winnipeg, Manitoba, Canada.

2. Eligibility

You must be the age of majority in your province or territory and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

3. Use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for lawful, personal, or internal business purposes. You agree not to:

• Use the Site in any way that violates applicable laws or regulations;
• Copy, reproduce, distribute, or create derivative works from our content without permission;
• Attempt to gain unauthorized access to the Site, our systems, or related networks;
• Interfere with or disrupt the integrity or performance of the Site;
• Use automated means (bots, scrapers) to access the Site without our prior written consent;
• Upload or transmit malicious code, or use the Site to harass, defraud, or harm others.

4. Intellectual Property

The Site and all of its content — including text, graphics, logos, the "Cosmo" mascot, images, designs, and software — are owned by or licensed to WhiteBox GiftWorks and are protected by intellectual property laws. "WhiteBox GiftWorks," "TRYBE," and our logos are our trademarks and may not be used without our prior written consent.

5. Inquiries, Quotes & Pricing

Our services are currently offered on an inquiry basis. Information on the Site, including product descriptions and indicative pricing, is provided for general information only and does not constitute a binding offer. Pricing, availability, and product details may change without notice. Any order or engagement is subject to a separate written agreement or confirmation between you and WhiteBox GiftWorks.

6. The TRYBE Software

Our TRYBE Relationship OS software platform is provided to subscribing customers under a separate subscription agreement. Those terms — not these Terms — govern your use of the software, including payment, service levels, data handling, and termination.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk.

8. Disclaimers

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is accurate, complete, or current.

9. Limitation of Liability

To the fullest extent permitted by law, WhiteBox GiftWorks and its directors, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us (if any) for access to the Site or CAD $100.

10. Indemnification

You agree to indemnify and hold harmless WhiteBox GiftWorks from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site or your breach of these Terms.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Information about cookies is set out in our Cookie Policy.

12. Changes to These Terms or the Site

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. We may also modify, suspend, or discontinue any part of the Site at any time.

13. Governing Law

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Manitoba, Canada for any dispute arising out of or relating to these Terms or the Site.

14. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and WhiteBox GiftWorks regarding the Site.
